1.1 GESBANHA, S.A., was formed by legal document, in October 1986, by its main responsible, master and graduated in "Organização de Empresas" (Business Administration), Francisco Manuel Espingardeiro Banha, and the Services Company, MOURALINA - Accounting Services, LDA., today with the following capital distribution:
1.2 The main responsible began his activity in Firm Valentim de Carvalho, Comércio e Industria, S.A., in September of 1981, from where he passed to Mouralina, Lda., in January of 1985. During that period he practised in that record Company the functions of direct collaborator of the "General Co-ordinator of the Manufacturing Sector".
On his turn, in MOURALINA, he collaborated with the management and worked with several Small and Medium Companies, some of which are today customers of GESBANHA.
1.3 GESBANHA, S.A., has for social purpose the supply of administrative, economic and financial services, accounting, taxes, investigation, expertise, professional training, merchandising, I.T., consulting and economic and financial auditing in Portugal and international area.

3 - ORGANISATIONAL STRUCTURE
3.1 GESBANHA, SA, has a present organisational structure where the Management functions are considered as an instrument to facilitate the accomplishment of established targets.
We believe that our structure its nothing more than a whole of responsibilities, authorities, communications and decisions that, through an adequate distribution of the resources, has allowed to reach in an optimised way the established results by the Strategic plan.
In our Company, more important than the processes or the structures are the people, avoiding that the structures constitute barriers to the innovation and to the creativity, which makes that:
Our structure its supported basically on a joint of expertise technicians (supervisors) who run and discipline their own performance according to a organised feedback, between internal and external clients, with the purpose of a better communication with the market.
It is of the responsibility of the Company's Management to carry out the Company leadership and manage the resources on the better way, through the transfer of the financial, human, material and technological means among the several business centres.
General Manager responsibility
1. To define the mission, main goals and basics values of the Company;
2. To establish the Company Strategic plan and manage the resources;
3. To establish the mentality and performance standards to each co-ordinator;
4. To establish general policies to all the Company;
5. To promote new businesses;
Each co-ordinator is directly responsible for the results and performance of the team under his direction, that means, each co-ordinator of the business centre is, in fact, the manager of his own "mini Company".
He develops himself and recommends the Strategic plans, operational and financial, of his team, which are approved, rejected or submitted to any change by the manager of GESBANHA, S.A.
